Terms of Service

1. Overview

These Terms of Service govern the use of the Doraki website and platform. By accessing or using our services you agree to be bound by these terms. Where a hotel has signed a separate partnership agreement with Doraki, that agreement prevails over these terms for the matters it covers.

2. Services

Doraki provides a guest platform for hotels and resorts, operated in the hotel’s own brand: spa, dining, court and experience bookings; a take-home storefront; digital gift vouchers (including an embeddable purchase widget for the hotel’s own website and Apple/Google Wallet passes); and AI-assisted concierge services. The platform integrates with the hotel’s existing systems — property management, payments and point-of-sale — and posts to them rather than replacing them.

3. Hotel Partners

Partner hotels act as the merchant of record for guest transactions: bookings, orders and vouchers are sold by the hotel, under the hotel’s brand, at prices the hotel sets. Hotels are responsible for delivering the underlying services and goods, for VAT and tax compliance in their jurisdiction, and for their own house policies (cancellations, refunds, voucher terms towards guests). Doraki provides the software and integrations.

4. Payments and Fees

Guest payments run through the hotel’s own payment provider (e.g. Stripe or JCC) or are charged to the room via the hotel’s property management system — funds settle directly with the hotel. Doraki is not a payment intermediary and does not hold guest funds. Doraki charges the hotel software fees as agreed in the partnership agreement (typically a commission on platform-generated revenue and/or a product fee), invoiced separately. Pilot periods, where offered, are free of software fees.

5. Gift Vouchers

Gift vouchers are issued by the hotel and redeemable at the hotel’s outlets as described on the voucher. Voucher balances are maintained by the platform and, where connected, in the hotel’s property management system. Validity periods and redemption conditions are shown at purchase; vouchers are not exchangeable for cash unless the law of the hotel’s jurisdiction requires otherwise.

6. Acceptable Use

You may not misuse the platform: no unauthorised access, scraping of other tenants’ data, interference with service operation, or use of the AI concierge to generate unlawful content. AI concierge replies are provided for convenience and may contain errors; the hotel’s own confirmations govern.

7. Intellectual Property

The Doraki platform, its design and software are the property of Doraki or its licensors. Hotel brands, logos and content remain the property of the respective hotel, licensed to Doraki solely to operate the service in the hotel’s brand. You may not copy, reproduce or distribute platform content without prior written permission.

8. Limitation of Liability

Doraki is provided “as is”. To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages arising from use of the platform, including third-party integrations (payment providers, property management systems, wallet services) acting outside our control. Our total liability shall not exceed the software fees paid by the relevant hotel partner in the preceding 12 months.

9. Termination

Either party may terminate the partnership with 30 days’ written notice, unless the partnership agreement provides otherwise. Upon termination, guest-facing surfaces are deactivated; outstanding bookings and orders are honoured, and outstanding vouchers remain the hotel’s obligation to its guests. We will provide a reasonable export of the hotel’s data on request.

10. Governing Law

These terms are governed by the laws of the Republic of Cyprus. Any disputes shall be resolved in the courts of Paphos, Cyprus.
